The deal.
Builtwins BV raised EUR 610,000 in equity through the regulated crowdfunding platform Spreds Finance NV, which acted as investor vehicle pooling individual investors through a dedicated compartment, in accordance with the Belgian Act of 18 December 2016 on the recognition and regulation of crowdfunding. The transaction also involved a significant corporate reorganisation: a share split from 10,000 to 4,300,000 shares, the conversion of the existing shares into new share classes, and the issuance of 610,000 preferred shares carrying, among other rights, a 1x non-participating liquidation preference and broad-based weighted average anti-dilution protection.
The client.
Builtwins is a Belgian PropTech / ConTech company and KU Leuven spin-out, active in building energy management, model predictive control (MPC) of HVAC systems and digital twin technology for buildings.
