Atelya BV, an investment platform established by WAD Capital, acquired 100% of the shares of E-DEMONSTRATIONS.BE NV, Flex Eventsupport & Logistics BV and Event Trailer Services BV: an integrated Belgian group active in event production, brand activation, promotional trailers, warehousing and digital signage. Key complexities were the deal structure and the simultaneous drafting and negotiation of all transaction documents within a tight timeframe.

WAD Capital is an institutional search fund focused on entrepreneurship through acquisition. It helps entrepreneurs acquire SMEs with EUR 1–5 million EBITDA in fragmented markets and supports its CEOs as they take on leadership during succession phases.
Our added value.
Quorum acted as sole buy-side counsel from LOI to closing, covering transaction structuring, the negotiation of the shareholders’ agreement and the incorporation of Atelya BV. The legal due diligence on all three group companies covered corporate structure, commercial contracts, employment, IP, insurance and disputes, and its findings were translated into a differentiated indemnity and warranty package. The key value-add was the reinvestment structure. Quorum managed the closing end-to-end, including the notarial deed for Atelya BV, all conditions precedent and the registration of the share transfers. The result: a clean, fully documented closing of a complex multi-entity acquisition within 22 weeks from LOI to closing (12 weeks from due diligence to closing), with all transaction documents delivered simultaneously on closing day.
