The deal.

Quorum acted as lead counsel to Roots Transition Partners BV, majority shareholder of Naexus BV, on the acquisition by Naexus BV of 100% of the shares in Algemene Elektriciteitswerken Hermans BV (AEH), a Belgian company active in the installation, maintenance and renovation of electrical infrastructure for industrial, commercial and public-sector clients. Founding entrepreneur and selling shareholder Erwin Hermans reinvested in Naexus BV, making him both a seller and a continuing co-investor. This dual role required careful calibration of economic interests, governance arrangements and closing mechanics. A real estate component, including arrangements on the continued use of the real estate, added a further layer of complexity.

Roots Transition Partners is a Belgian private equity fund and long-term investor. It steps in when an entrepreneur is looking for succession or a company is ready for its next growth phase, matching companies with ambitious buy-in managers and hands-on investors.

Our added value.

Quorum provided fully integrated legal counsel across all workstreams: deal structuring, a comprehensive legal due diligence (corporate, contracts, employment, real estate, banking and finance, with particular focus on the future real estate carve-out) and the negotiation of the SPA, vendor loan, management agreement and shareholders’ agreement. The full negotiation and drafting of all transaction documents, as well as the coordination with the notary, had to be completed within three weeks. Quorum advanced and closed all workstreams concurrently, enabling Naexus BV to complete a structurally complex acquisition on time and on agreed terms.
