The deal.

Quorum advised Standard Investment on the acquisition of Osiris-Daout SA, a strategically significant player in the Walloon market that operates the commercial Osiris network, a recognised platform within the optical sector. The transaction is part of Standard Investment’s buy-and-build strategy in Belgium: the acquisition and consolidation of independently owned local optician businesses in Flanders and Wallonia through the Oculus platform. Each acquisition is structured through a dedicated special purpose vehicle incorporated by Standard Opticians.

Standard Investment is a private equity fund of Dutch origin and a hands-on investment firm focused on medium-sized companies in the Benelux.

Our added value.

For each Oculus acquisition, Quorum provides full transactional support: legal due diligence, red flag due diligence reports and the drafting and negotiation of the complete transaction documentation. For Osiris-Daout, the data room review covered corporate, contracts, real estate, insurance, commercial, business operations, employment and litigation. The risks were translated into warranties, specific indemnities and clauses in the share purchase agreement, followed by guidance through signing, post-closing arrangements and registry amendments, with a lead time of 16 weeks from due diligence to closing. Through this transaction, Oculus further strengthened its visibility and market position across Wallonia.
