The deal.
Quorum advised EYBIS NV on the corporate reorganisation and carve-out of its business activities relating to motorcycle track-day travel packages. The transaction comprised the sale and transfer of the commercial business (handelsfonds) to the newly incorporated operating company EYBIS 2.0 BV. The legal complexity centred on designing an integrated transaction package without third-party friction: structuring vendor-backed acquisition debt, ring-fencing property assets through an intra-group commercial lease, and negotiating a tailored shareholders’ agreement to establish the governance and partner dynamics of EYBIS 2.0 BV within a nine-week timeline.
The client.
EYBIS sells package tours for motorcyclists to renowned circuits in ten European countries. Since its start in 2005, it has welcomed more than 50,000 customers from 25 countries.
Our added value.
Quorum provided full-scope legal counsel from the initial blueprint to completion: designing the carve-out framework and the vendor financing mechanics, incorporating EYBIS 2.0 BV, and defining the perimeter of the transferred business (handelsfonds, goodwill, booking contracts, supplier relationships and operational IP). The interconnected contractual suite covered the asset purchase agreement, the vendor loan agreement, the commercial lease agreement and the new shareholders’ agreement, and Quorum coordinated the simultaneous closing actions, the corporate resolutions and the implementation of the new governance framework, with a lead time of 9 weeks from mandate to closing. The structure separates operational exposure from legacy assets while ensuring day-to-day commercial continuity, giving EYBIS 2.0 BV a clean operational runway and a solid corporate foundation for incoming partners and future growth.
