Quorum acted as transaction counsel in connection with the reinvestment by Société Anonyme de Participation et de Gestion NV and Imec.istart Fund NV in Octave BV. The transaction required the coordination of multiple investors and the structuring and negotiation of the relevant transaction documentation, including the alignment of the reinvestment terms with the existing shareholder arrangements and governance framework. Quorum delivered full legal transaction counsel from mandate to signing in 11 weeks end-to-end.

The mandate covered the implementation of the reinvestment and the restatement of the existing shareholders’ agreement and investment agreement to reflect the new investment structure. Quorum supported the client from the negotiation and finalisation of the transaction documentation through to closing and post-closing follow-up: coordinating the execution of the relevant documents, ensuring that all closing deliverables were in place and providing timely support on outstanding matters after closing. By keeping the transaction documentation aligned with the existing shareholder and governance framework, Quorum enabled the clients to coordinate the interests of the relevant stakeholders and achieve timely execution through closing.
