The deal.

Quorum advised Kemetyl UK Ltd. on its acquisition of the car care and home and garden functional fluids business of Flowchem UK and Bonnington Plastics. The transfer of assets, together with sector-specific regulations and the cross-border element, heightened the legal complexity of the transaction.

The client.

Kemetyl Group specialises in chemicals for care and leisure use, operates in over ten countries and has been a car care business since 1918. The group is also the Global Category Captain for Shell Car Care products.

Our added value.

Quorum defined the due diligence scope and legal mandate, reviewed the data room (corporate, contracts, IP, employment and litigation) and translated the risks into warranties and clauses in the asset purchase agreement, before guiding the client through signing, post-closing arrangements and registry amendments. Full legal counsel from mandate to signing took 14 weeks end-to-end, with a lead time of 7 weeks from due diligence to signing. The mandate also covered negotiations with the landlord on new leases and 25 conditions precedent and closing actions.
